PAI Partners is seeking a motivated legal trainee within the Finance Department team based in Luxembourg ideally from July 2021.
The trainee will assist the Finance team in (i) drafting/reviewing of various legal documents, (ii) preparing/maintaining the corporate governance documentation and (iii) internal knowledge management.

. Drafting/reviewing of legal documents and formalities concerning transactions related to the day-to-day management of holding companies managed by PAI (incorporation, dissolution, bank account opening, approval of annual accounts, statutory modifications, capital increase etc.).
. Assist in preparing/maintaining the corporate governance documentation (preparing board packs, running board meetings, drafting the minutes and resolutions, prepare and review documentation for shareholders general meetings) for holding companies.
. Monitoring and reviewing legal documentation related to transactions/one-off operations carried-out by PAI (including deal execution).
. Liaising with independent public authorities, notaries, advisors, auditors, service providers (central administration, depositary bank, administrative/corporate agents, accountants etc.) and other professionals.
. Assist in preparing/maintaining the corporate governance of the management bodies of the Luxembourg AIFM (Board of the AIFM, Conducting Officers meetings etc.) and of the Luxembourg AIFs under management in relation to the day-to-day management, fundraising or deal execution.
. Legal research / knowledge management.
. Creation and update of templates and checklists.
Required knowledge and skills
• Minimum Bachelor’s Degree in Legal education;
• Dynamic and proactive;
• Attention to detail, timeliness and organizational skills;
• Ability to work as part of a team and demonstrate strong communication skills;
• Sense of confidentiality;
• Good knowledge of MS-Office applications;
• Fluency in French and English (written and spoken), knowledge of Spanish, Italian, German and/or any other language would be an asset.
